Transaction-Executing Agents: The Accountability Question Enterprises Can't Defer

The Statutory Void

Traditional agency law — apparent authority, scope of employment, ratification — assumes a human agent who can form intent and be held to a duty of care. When an AI Agent enters a contract, that framework breaks at every point. Mayer Brown is direct: companies may find themselves strictly liable for all AI Agent conduct, whether or not the specific action was predicted. Unlike negligence, strict liability attaches to deployment itself. The EU AI Act adds a parallel obligation: high-risk AI system operators must maintain technical documentation proving systems operated within intended parameters — a requirement that maps directly onto the authority specification that makes agent conduct insurable.

Scenario A · Procurement

Spending Limit Exceedance

A procurement agent authorized at $25,000 per vendor per quarter executes a $180,000 contract due to a parameter misconfiguration. The supplier delivers. The enterprise disputes the obligation. The vendor's counsel argues apparent authority. No existing policy was designed to sit between these positions — the enterprise absorbs the loss, or the dispute becomes litigation.

Scenario B · Finance Operations

Counterparty List Deviation

A treasury settlement agent authorized to pay 14 registered counterparties routes a $2.3M payment to an account matching an approved name format but not on the registered list. Cyber disclaims — no intrusion occurred. D&O disclaims — no director authorized the payment. The loss sits uninsured on the balance sheet.

Scenario C · Legal / Contracts

Non-Standard Clause Execution

A contract management agent authorized to execute standard NDAs from an approved template library accepts a non-standard agreement containing a broad IP assignment clause. The counterparty asserts the clause in an acquisition context. The general counsel has no execution record — the deviation was automated and unflagged. No insurance product covers the loss pathway.

The pattern is identical across all three: the agent acted within its technical capability but outside its authorized scope. Each loss is real, documentable, and causally linked to a deployment governance decision — and none fits any existing coverage trigger.

Governance Solves the Record Problem, Not the Loss Problem

These are essential investments — but they establish causation, not indemnity. An audit trail proves what happened; it does not fund remediation.
